Terms of Service

1. Acceptance of Terms

By accessing rivailabs.com or engaging our services, you agree to these Terms. If you disagree, do not use our website or services. These Terms form a binding agreement between you and RivaiLabs.

2. Services

RivaiLabs provides custom software development, AI/ML solutions, blockchain, enterprise automation, consulting, and SaaS product engineering. All engagements are governed by individual Project Agreements with specific scope, deliverables, timelines, and payments.

3. Payment Terms

Milestone-based payments: 30–40% advance, then per milestone, final on delivery. All prices in INR and inclusive unless specified otherwise in the Project Agreement.

Payments via secure gateway (UPI, cards, net banking, NEFT). Late payments may attract 1.5% monthly fee. See our Refund Policy for cancellation terms.

4. Intellectual Property

Website: All content is RivaiLabs property, protected by Indian and international IP laws.

Deliverables: IP transfers to client upon full payment as specified in the Project Agreement. RivaiLabs retains general knowledge and techniques. Pre-existing and open-source components retain their licenses.

Portfolio: Unless restricted by NDA, we may showcase general project descriptions in our portfolio.

5. Confidentiality

All client information is treated as confidential. NDAs available on request (standard for all engagements). Confidentiality survives 3 years post-termination unless otherwise specified.

6. Delivery & Acceptance

Deliverables are reviewed at each milestone. Client has 7 business days to review/accept. No response = deemed accepted. 2 revision rounds per milestone included. Out-of-scope changes are separate.

7. Limitation of Liability

RivaiLabs is not liable for indirect, incidental, or consequential damages. Total liability capped at the amount paid for the specific services in question.

8. Warranties

Services are performed professionally per industry standards. We do not guarantee error-free deliverables beyond agreed scope. Website is provided "as is" without warranties of merchantability or fitness.

9. Termination

Either party may terminate with 15 days written notice. Client pays for completed work. Delivered milestones remain client property. See Refund Policy for details.

10. Governing Law

Governed by Indian law. Disputes resolved by negotiation first, then arbitration in Bengaluru, Karnataka under the Arbitration and Conciliation Act, 1996. Courts of Bengaluru have exclusive jurisdiction.
